Introduction
The RosterMate software product for rostering and staff management (available in both online and mobile formats) and any associated products and services (the Product) are provided by RosterMate Ltd (Licensor, us, our, or we).
To access and use the Product, you and any entity or firm you are authorised to represent (you or your) must create an account, acquire a subscription, and agree to be bound by these terms and conditions (Terms).
The Licensor reserves the right to modify these Terms at any time by providing notice to you. Any changes will be communicated via the email associated with your account and upon accessing the Product. Continued use of the Product after such notification constitutes acceptance of the revised Terms.
The Licensor may, at its discretion, provide updates or new features to the Product, which will be subject to these Terms and any additional terms as notified to you.
You acknowledge that the Licensor is not responsible for any content or information you provide or access via the Product (Your Content).
These Terms, along with our Privacy Policy and other referenced documents, govern your use of the Product, including provisions regarding the removal or deletion of Your Content upon subscription termination (see Clause 16).
Subscription
To create an account and acquire a subscription, you must provide your correct name, a valid email address, and any other requested information.
Failure to provide accurate, complete, and up-to-date account details may result in the Licensor cancelling your account and/or subscription.
You must ensure your account and subscription details remain accurate and notify us of any changes.
Each account login is for one person only—shared logins among multiple users are not permitted. You may not transfer your account to another person.
You can invite others to use the Product under your subscription (Invited Users), who must also accept these Terms.
You are responsible for:
- Protecting your login credentials from misuse.
- Managing access to your subscription, including assigning permissions to Invited Users.
- Resolving disputes with Invited Users regarding subscription access.
- All activity and content posted under your subscription (including actions by Invited Users or unauthorised users).
Only one RosterMate subscription per person or legal entity is permitted under any free trial or promotional offer.
Payment and Refunds
To maintain your subscription and continued access to the Product, you must pay the agreed-upon monthly fee as set during your signup. Failure to make timely payment may result in suspension of your subscription until payment is received.
Additional products or services may incur extra fees, which will be communicated at signup.
The Licensor reserves the right to adjust subscription fees and pricing at any time.
Fees for Australian and New Zealand businesses include GST. All other taxes, levies, or duties applicable in your jurisdiction are your responsibility.
If you are dissatisfied with your purchase, email inquiry@rostermate.com within the specified period for resolution or a refund where applicable.
You will be invoiced monthly for your subscription, with payment due as outlined on the invoice. To avoid service interruption, please ensure your billing details are accurate and payments are made on time. You may cancel your subscription at any time by contacting RosterMate support. If payment is not received, your subscription will be automatically terminated.
Billing Details:
- Minimum Monthly Fee: If rostered staff costs exceed the minimum fee, no additional charge applies. If costs are below the minimum, the difference is charged. If no staff are rostered, the full minimum fee applies.
- Initial Charge: Upon setting up payment details, an authorisation fee will be charged and later credited to your first invoice.
- Pro-Rata Billing: If you join mid-month, you'll be billed proportionally until the next billing cycle.
- Subscription Changes: Plan adjustments take effect at the start of the next calendar month.
Modifications to the Product
The Licensor may modify the Product (or any part of it) at any time without prior notice.
Use of Data
The Licensor does not claim ownership of Your Content but grants us a licence to use, store, back up, and analyse it to:
- Enable Product functionality.
- Improve and develop our services.
- Create new offerings.
- Communicate with you about your subscription and relevant updates.
Confidential Information
Both parties agree to protect each other's confidential information and may disclose it only if legally required.
Security
The Licensor implements security measures but cannot guarantee against unauthorised access. We may restrict access until user verification is complete.

Use of the RosterMate website is subject to its own terms and privacy policy.

Terms of Use
You may not use the Product or Licensor Content to:
- Engage in illegal or unauthorised activities.
- Violate laws or regulations.
- Infringe intellectual property rights.
- Harass, discriminate, or spread false information.
- Transmit malware or interfere with security features.
The Licensor reserves the right to remove any inappropriate Your Content.
Intellectual Property
The Product and Licensor Content are protected by copyright, trademarks, and other intellectual property laws. Unauthorised reproduction or resale is prohibited.
Third-Party Services
The Product relies on third-party vendors (e.g., hosting providers, app stores). Additional terms may apply.
We provide access to third-party content (Third-Party Content) and websites (Third-Party Websites) but do not endorse or control them. Use at your own risk.
Warranties
The Product is provided "as is", with no warranties except:
- Reasonable care and skill in service provision.
- Efforts to maintain uptime (excluding unavoidable outages).
- Compliance with New Zealand & Australian laws.
While RosterMate performs automated twice daily backups of your data as part of our service, you acknowledge that you are ultimately responsible for maintaining your own independent backups of all critical business information. We strongly recommend that you regularly export and securely store copies of your data outside the RosterMate system.
Limitation of Liability
To the fullest extent permitted by law, the Licensor is not liable for:
- Lost profits, revenue, or data.
- Indirect, incidental, or consequential damages.
- Claims arising from Product use or third-party services.
Consumer protection laws may provide additional rights.
Indemnity
You agree to indemnify the Licensor against claims arising from your breach of these Terms or misuse of the Product.
Cancellation and Termination
The Licensor may suspend or terminate your subscription for violations or non-payment.
You may cancel anytime by emailing inquiry@rostermate.com. Billing continues until the end of the cancellation month.
If the Licensor discontinues the Product, reasonable notice will be given before termination.
Data Deletion:
Upon cancellation/termination, Your Content is deleted after 30 days and cannot be recovered.
General
- Abuse of staff or other users will result in immediate termination.
- Data may be transmitted unencrypted across networks.
- No partnership or agency relationship is created by these Terms.
- Failure to enforce a provision does not waive rights.
- Invalid provisions will be severed without affecting the rest.
- These Terms are governed by and construed in accordance with the laws of New Zealand.
